Please note that these Terms of Use govern your use of the website itself. Any design or consulting services provided by Lidarium to clients are governed by separate, privately executed Master Services Agreements (MSAs) or Statements of Work (SOWs), not these website terms.

2. Intellectual Property Rights

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Lidarium or its content suppliers and is protected by international copyright and intellectual property laws.

You may not systematically extract, re-utilize, reproduce, duplicate, copy, sell, or exploit any portion of the Site without express written consent from Lidarium.

3. Acceptable Use & Conduct

When using our Site, you agree not to:

• Use the Site in any way that causes, or may cause, damage to the Site or impairment of the availability or accessibility of the Site.
• Use the Site in any way which is unlawful, illegal, fraudulent or harmful.

Lidarium disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the functions contained in the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.

6. Limitation of Liability

In no event shall Lidarium, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; and (iii) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

7. DMCA & Copyright Policy

Lidarium respects the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Site infringes the copyright or other intellectual property infringement of any person. If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Site, you must submit your notice in writing to the attention of "Copyright Infringement" to legal@lidarium.com.

8. Binding Arbitration & Class Action Waiver

Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration rather than in court.

Class Action Waiver: You and Lidarium agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.

9. Force Majeure

Lidarium shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Lidarium's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference), acts of God, natural disasters, cyber-attacks, or server outages provided by third-party hosting companies.

10. Severability & Entire Agreement

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement: These Terms of Use constitute the entire agreement between you and Lidarium regarding our Site, and supersede and replace any prior agreements we might have between us regarding the Site.

11. Governing Law

These Terms of Use shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
